The domain name https://badshaitrading.co.in, along with its pages and sub-domains, and its social media channels including in platforms like Telegram, YouTube, Instagram and Facebook that are operated and managed by its representatives (collectively called the “Website Platform” or “Web site”) is owned and/or operated by BADSHAI EDU ALPHA PRIVATE LIMITED, (hereinafter shall also be referred as the “Company”) an entity registered under The Companies Act, 2013. The Company is specialized in providing Financial Education related services and is engaged in providing these services through their online platform.

This page explains the terms of use of using the Website Platform and services provided by the Company (hereinafter shall also be referred as the “Terms of Use”). If you do not agree with these Terms of Use, please stop using the Services.

This document is an electronic record published in accordance with the provisions of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the Rules and Regulations, Privacy Policy and Terms of Service for access or usage of the Website Platform and being generated by a computer system, it does not require any physical or digital signatures.

A User may create an account on the Website Platform which shall collect only Your information. You are solely responsible for protecting the confidentiality of your username and password and any activity under the account will be deemed to have been done by you. By using this Website Platform, it is deemed that you have consented to receiving calls, autodialed and/or pre-recorded message calls, e-mails, messages in Social Media Channels from Us at any time with the use of the contact number and e-mail address that has been provided by you for the use of this Website Platform which are subject to the Privacy Policy. The User agrees to receive promotional communication and newsletters from the Company and its partners.

Charges

The use of this Website Platform and the services of the Company are chargeable; the charges of which shall be solely decided by the Company and shall be informed to the User.

In a case that such happens, Users will be intimated of the same, and it will be up to You to decide whether or not You will continue with services offered by Us. UPI based payment

The UPI, credit or debit card information are usually stored by Us in any manner. This information is usually provided by You directly to the payment gateway which is authorized to handle such information. However, the information that We receive during receipt of payment is stored by Us and is used to acknowledge your payment and might be used for our internal control system.

User Obligation

You are a restricted user of this Website Platform.

Termination

This User Agreement is effective unless and until terminated by either you or the Company. You may terminate this User Agreement at any time, provided that you discontinue any further use of the Website Platform. The Company may terminate this User Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Website.

Such termination will be without any liability to the Company. The Company’s right to any Comments and to be indemnified pursuant to the terms hereof, shall survive any termination of this User Agreement. Any such termination of the User Agreement shall not cancel your obligation to pay for services already ordered from the Website Platform or affect any liability that may have arisen under the User Agreement prior to the date of termination.

Dispute Resolution Process

It is agreed by the parties that any formation, interpretation, and performance of this policy and any dispute arising out of it will be resolved through two-step Alternative Dispute Resolution (ADR) mechanism. It is further agreed by the parties that this section i.e., resolution through ADR, will survive even after termination or expiry of the Terms of Use or the Privacy Policy.
Mediation- In case a dispute arises between the parties, the parties will attempt to resolve the same amicably between them, through mutual understanding. If the parties are unable to reach a common ground within 30 days of one party communicating of existence of dispute to the other, the dispute will be resolved through arbitration.

Arbitration- The parties agree that when they are unable to resolve the dispute through Mediation, the said dispute will be resolved through arbitration. The parties further concur that the arbitration proceeding will be presided by a Sole Arbitrator, who would be appointed by the Company on its sole and exclusive discretion. The language for arbitration would be Bengali or English. The seat of arbitration would be Kolkata, West Bengal.

If the dispute cannot be resolved by this two-step Alternate Dispute Resolution mechanism, it shall be referred to the courts at Kolkata, India.

Governing Law and Jurisdiction

This Agreement shall be entered into by the Parties, governed, interpreted, construed and enforced according to laws applicable within the city of Kolkata in West Bengal, India, without giving effect to any choice of legal rules and principles. In case of any dispute between the Parties that cannot be solved through Arbitration, the same shall be subjected to jurisdiction of appropriate courts within Kolkata in the state of West Bengal.

Users using, accessing, browsing through or entering into this Agreement in any way from jurisdictions other than India are solely responsible for compliance with the laws in force in Kolkata, West Bengal and with applicable local laws. The Users waive all defenses of lack of jurisdiction or inconvenience of forum with respect to adjudication of any dispute that may arise out of their relationship with the Company.

Severability

Each paragraph of this Terms of Use shall be and remain separate from and independent of and severable from all and any other paragraphs herein except where otherwise expressly indicated or indicated by the context of the agreement. The decision or declaration that one or more of the paragraphs are null and void shall have no effect on the remaining paragraphs of this Terms of Use.
